We have specialist knowledge of regulated debt and equity offers under the Financial Markets Conduct Act (FMCA), including advising on product disclosure statements and the associated due diligence process. For listed clients, our expertise also covers advising on the applicable NZX listing rules.
In addition, we have advised New Zealand corporates and US investors in relation to US private placement debt issuances.
Our lawyers also regularly assist clients with private capital raisings. This includes advising on the relevant exclusions under the FMCA as well as assisting with the preparation of information memoranda and other documentation.
